Why so many overlapping board members? Who represents us ?

Medley-affiliated organizations now have multiple OVERLAPPING BOARD MEMBERS (including between non-profit, for profit and public entities). 
See for yourself -- Go to the public FL corporations website here:   https://search.sunbiz.org/Inquiry/CorporationSearch/ByName  and read the 2025 Annual Reports for the organizations below.  Each report lists its current board members and legal agents.  Multiple directors are common to two or three boards!
  • #1.  Search for "Medley at Southshore Bay Homeowners Association" (our nonprofit Medley HOA sub-association.)  Review the 2025 Annual Report for the names of  our five board members. (For privacy, we will list only their Initials:  MS, KC, SW, DN, TR, but you can look up on the FL sunbiz site.)  Note that all five current Medley HOA members also served on Medley's  2024 Transition Steering Committee associated with our builder.   Next.... 
  • #2.  Search for "Southshore Bay Homeowners Association"  (This nonprofit Master Association now has board member (KC) in common with HOA #1 above and three directors in common with our Hidden Creek board below. plus its president (JR) serves as President of two Metro LLCs. .  This HOA may include DR Horton homes in our Master HOA (#2).
  • #3.  "Hidden Creek CDD", our FL public community development district, has two board members (KC, MS) in common with our HOA #1 and one with HOA#2 (ML).  Visit  https://www.hiddencreekcdd.org/elections  which lists its directors.
  • #4  "Southshore Bay CDD" the FL public community development district for homes/borders outside Medley's gates, includes DR Horton homes.  That board is listed here:   https://www.southshorebaycdd.org/elections  (Four of five directors overlap with HOA #2:   ML, DD, BC, LP, CR))
When you consider that common board members of these for profit organizations affecting Medley, there appears to be potential conflicts.  For example, for profit METRO LAGOONS, LLC shares another board member with Master HOA #2 (JR).  The concerning part about that is that METRO DEVELOPMENT  https://metrodevelopmentgroup.com/communities/southshore-bay/  appears to be parent to brands we use including
  • MetroLagoons 
  • UltraFi  internet/connectivity
  • Streetleaf  street lighting
  • Can directors be truly independent when they serve on both for profit boards and their businesses (whose goals are to maximize profits) , and also serve as non profit or public board directors that negotiates with those very same vendors and organizations?  It no longer seems like arms-length transactions.

    Beyond that, BREEZE HOMES which managed HOA#2 and administers our "Southshore Bay Club" ( by METRO LAGOONS).  It would appear that they have been acquired (or at least rebranded) as KAI this year.   While there is very little available on their new website https://hikai.com/, it would be interesting to learn from the many other associations affected.
